Anti-Circumvention Policy

This Anti-Circumvention Clause is established to protect the legitimate business interests, proprietary systems, and revenue model of Konetos, and to ensure transparency, accountability, and trust among all users of the platform.

With Penalty Fees, Jurisdiction, and Dispute Resolution

Part 1-3: Purpose, Obligation & Prohibited Conduct

1 Purpose

This Anti-Circumvention Clause is established to protect the legitimate business interests, proprietary systems, and revenue model of Konetos, and to ensure transparency, accountability, and trust among all users of the platform.

2 Non-Circumvention Obligation

By registering on, accessing, or using the Konetos platform, all users, including but not limited to clients, artisans, contractors, and service providers ("Users"), expressly agree not to directly or indirectly circumvent, bypass, avoid, or undermine Konetos for the purpose of engaging in any transaction, agreement, or service arrangement outside the platform with any party first introduced through Konetos.

3 Prohibited Conduct

Users shall not, without prior written consent from Konetos:

Exchange contact information (including phone numbers, email addresses, social media handles, or physical addresses) with the intent of conducting transactions outside the platform.

Solicit, negotiate, contract, or accept payments outside the Konetos platform for services initiated through Konetos.

Divert or attempt to divert business opportunities, leads, or clients obtained through Konetos.

Continue or renew engagements off-platform after an initial introduction or transaction via Konetos.

Part 4-6: Continuing Obligation, Monitoring & Penalties

4 Continuing Obligation

This non-circumvention obligation shall remain in effect during the period of active use of the platform and for a period thereafter.

The obligation continues for twelve (12) months following the last recorded interaction, transaction, or engagement between the Users on Konetos.

5 Monitoring and Enforcement

Konetos reserves the right, to the extent permitted by applicable law, to monitor communications, transactions, and user activity on the platform for the purpose of detecting violations of this clause.

6 Penalty Fees and Commission Recovery

Recovery Fee Range
20% – 30%
of the total value of the off-platform transaction
or the standard platform commission, whichever is higher
Standard Recovery Fee

In the event of a breach, the violating User(s) shall be liable to pay Konetos a recovery fee equal to 20% to 30% of the total value of the off-platform transaction, or the standard platform commission (whichever is higher).

Estimated Transaction Value

Where the actual transaction value cannot be reasonably determined, Konetos reserves the right to estimate based on market rates, prior transactions, or quoted amounts. Such estimation shall be deemed reasonable and binding.

Additional Penalties

Konetos may impose additional administrative penalties, including fixed fines, to cover investigative, operational, and legal costs incurred as a result of the breach.

Joint and Several Liability

Both the client and the service provider involved shall be held jointly and severally liable for the full amount of all fees, penalties, and damages.

Part 7-11: Remedies, Jurisdiction, Dispute Resolution & Acceptance

7 Penalties and Remedies

In addition to the recovery fees above, Konetos reserves the right to take any or all of the following actions without prior notice:

Account Suspension

Immediate suspension or permanent termination

Payment Forfeiture

Forfeiture of any ongoing or pending payments

Permanent Blacklisting

Permanent ban from the platform

Legal Proceedings

Legal action to recover losses and seek injunctive relief

8 Governing Law and Jurisdiction

This Clause and any dispute arising out of or in connection with the use of the Konetos platform shall be governed by and construed in accordance with the laws of:

Nigeria

Where the User is operating within or the transaction originates from Nigeria

South Africa

Where the User is operating within or the transaction originates from South Africa

Subject to the dispute resolution provisions below, the courts of the applicable jurisdiction shall have exclusive authority over any matters not resolved through arbitration.

10 Acknowledgment and Consent

Material Breach

Users acknowledge that any attempt to circumvent Konetos constitutes a material breach of these Terms and Conditions and may cause significant financial and reputational harm to Konetos. By using the platform, Users expressly consent to comply with this clause and all enforcement measures contained herein.

11 Reservation of Rights

Konetos reserves all rights not expressly granted herein and may amend this clause at any time, with such amendments becoming effective upon publication on the platform.

Acknowledgment of Policy

By using Konetos, you acknowledge that you have read, understood, and agreed to this Anti-Circumvention Clause with Penalty Fees, Jurisdiction, and Dispute Resolution provisions.
